Role Overview

Key Responsibilities

  • Reporting to the Head of Treasury and the Board.
  • Functional reporting to the Head of Legal, AM India
  • Secretarial
  • Arranging board meetings, committee meetings, preparing notices, agendas, minutes, and following up on board decisions.
  • Fling of returns, resolutions, maintaining statutory registers and books.
  • ROC Filing
  • Ensure compliance with secretarial standards
  • Advise the Board on corporate governance practices, independence, conflicts of interest, fiduciary duties.
  • Advising the Board on governance best practices, risk, legal obligation
  • Ensuring compliance with Companies Act, regulations of the Ministry of Corporate Affairs (MCA), and any other applicable laws and handle the full spectrum of secretarial activities under Indian Companies Act, 2013.
  • Compliance Risk & Monitoring
  • Create and run controls, checks, and rules to prevent risks.
  • Regularly test for gaps and Compliance violations.
  • Monitor transactions and report issues, and fix them.
  • Other Compliance
  • Ensure compliance with SEZ, IFSCA, SEBI and FEMA laws
  • To perform the role of ‘Principal Officer’ under FIU-IND Guidelines
  • filings, returns related to above law
  • Track regulatory changes; issue advisories to business / operations teams for implementation.
  • Assist in inspections, audit
  • To perform the role of Compliance Officer under Corporate Governance Policy and perform various compliance activities under all applicable laws and regulations.
